"TPI2000.com" is a major supplier in the Promotional Products and Award Industry providing a complete line of promotional products, premiums, gifts, and awards. "Customer" means each person who establishes or accesses a connection ("Account") for access to, use and order the products offered by TPI. In this Registration Agreement ("Agreement") "you" and "your" refer to each customer, "we", us" and "our" refer to TPI2000.com, and "Customer Registration" refers to the customer registration provided by us as offered through TPI. This Agreement explains our obligations to you, and explains your obligations to us for various Services.

(A) This Agreement, which incorporates by reference other provisions applicable to use of TPI, including, but not limited to, supplemental terms and conditions sets forth the terms and conditions that apply to use of TPI products by customers. By using TPI (other than to read this Agreement for the first time), Customer agrees to comply with all of the terms and conditions hereof. The right to use TPI is personal to User and is not transferable to any other person or entity. User is responsible for all use of User's Account (under any screen name or password) and for ensuring that all use of User's Account complies fully with the provisions of this Agreement. User shall be responsible for protecting the confidentiality of User's password(s), if any.

(B) TPI shall have the right at any time to change or discontinue any aspect or feature of TPI, including, but not limited to, content, hours of availability, and equipment needed for access or use.

(A) User shall use TPI products for lawful purposes only. User shall not use any TPI products which violate or infringes, in any way, upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without TPI's express prior approval, contains advertising or any solicitation with respect to products or services.

(B) TPI contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of TPI are copyrighted as a collective work under the United States copyright laws.

(C) User shall not upload, post or otherwise make available on TPI any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with User. User shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission

TPI shall have the right, but not the obligation, to monitor the content of TPI to determine compliance with this Agreement and any operating rules established by TPI and to satisfy any law, regulation or authorized government request. TPI shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on TPI. Without limiting the foregoing, TPI shall have the right to remove any material that TPI, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

User agrees to defend, indemnify and hold harmless TPI, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of TPI by User or User's Account.

TPI and its logo is a trademark of TPI2000.com. All rights reserved. All other trademarks appearing on TPI are the property of their respective owners.

TPI reserves the right to change the contents, not excluding pricing, description, inventory, and other relevant information about the products/services contained herein, without notification to the User at any time. Since the content of this site is updated frequently, TPI is not liable and User hereby indemnifies and agrees to accept a reasonable proportion of typographical error that may be present on the TPI site.

You agree that the Registration Agreement will remain in full force during the length of the term of your product(s) transactions with us. Should you choose to renew or otherwise lengthen the term of your association for buying products with us, then the term of this Registration Agreement will be extended accordingly.

In order to change any of your account information with us, you must use your Account Identifier and Password that you selected when you opened your account with us. Please safeguard your Account Identifier and Password from any unauthorized use. In no event will we be liable for the unauthorized use or misuse of your Account Identifier or Password.

We and the RSP reserve the right to distribute information to you that is pertinent to the quality or operation of our services, products those of our service partners. These announcements will be predominately informative in nature and may include notices describing changes, upgrades, new products or other information to add security or to enhance your identity on the Internet.

You agree that our entire liability, and your exclusive remedy, with respect to any Services(s) and products provided under this Agreement and any breach of this Agreement is solely limited to the amount you paid for such Service(s) and products. We and our contractors shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use any of the Services or for the cost of procurement of substitute services. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any and all loss or liability resulting from, but not limited to: (1) loss or liability resulting from access delays or access interruptions; (2) loss or liability resulting from data non-delivery or data mis-delivery; (3) loss or liability resulting from acts of God; (4) loss or liability resulting from the unauthorized use or misuse of your account identifier or password; (5) loss or liability resulting from errors, omissions, or misstatements in any and all information or services(s) provided under this Agreement; (6) loss or liability resulting from the interruption of your Service. You agree that we will not be liable for any loss of registration and use of your domain name, or for interruption of business, or any indirect, special, incidental, or consequential damages of any kind (including lost profits) regardless of the form of action whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages. In no event shall our maximum liability exceed five hundred ($500.00) dollars.

You agree that your use of our Services products is solely at your own risk. You agree that such Service(s) and product(s) are provided on an "as is," "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services and products will meet your requirements, or that the Service(s)/product(s) will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Service(s) or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected.

As part of the registration process, you are required to provide us certain information and to update us promptly as such information changes such that our records are current, complete and accurate. You are obliged to provide us the following information:

Your willful provision of inaccurate or unreliable information, your willful failure promptly to update information provided to us, or your failure to respond for over fifteen calendar days to inquiries by us concerning the accuracy of contact details associated with the your registration, shall constitute a material breach of this Agreement and be a basis for cancellation of the registration.

We, in our sole discretion, reserve the right to refuse to register you for other Services within thirty (30) calendar days from receipt of your payment for such services. In the event we do not register or reserve your domain name or register you for other Services, or we delete your domain name or other Services within such thirty (30) calendar day period, we agree to refund your applicable fee(s). You agree that we shall not be liable to you for loss or damages that may result from our refusal to register, reserve, or delete your domain name or register you for other Services.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF THE SERVICE AND ARE NOT RELYING ON ANY REPRESENTATION GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

All information provided to the Company by customers will be held in the strictest confidence, and the Company has taken all such steps it deems reasonably necessary or appropriate to protect against improper or unauthorized access thereto. Quantities are limited on all merchandise offered for sale, and many of the products are unique and/or one-of-a-kind. The actual prices at which products are offered for sale on this Site are determined by the Company, in its sole discretion. Payment for merchandise purchased may be accomplished through the use of an accepted credit card, or by cashier's or personal check. Orders submitted may be cancelled, but only by written notice actually received by the Company prior to shipment. All orders become final upon shipment of the merchandise ordered.

Unless a customer is otherwise advised shipment of merchandise will occur within ten business days of an order acceptance. All orders are shipped via UPS ground or US Postal unless customer request other carrier's. Merchandise is only insured for oversea's shipments unless customer stateside request insurance. All shipping and handling charges outside the continental US will be researched for most competitive shipping service.

Customers will be entitled to return merchandise that is not as represented, but not otherwise. In no event will the Company be obligated to accept the return of merchandise that has been damaged through the customer's actions or omissions. if an order is damaged in transit it is the responsibility of the customer to have the carrier return the damaged merchandise to the company.

The Company will refund the purchase price of merchandise only in those circumstances where the product in question has been returned to the Company in the condition originally shipped, or under other circumstances that it determines, in its sole discretion, warrant such a refund. In no event will the Company be obligated to refund handling or shipping charges.

All inquiries should be in writing and submitted by e-mail or fax. The Company will only be responsible for its written response to any such inquiry.
